About These Terms

These Terms of Service ("Terms") govern your use of the software-as-a-service products of SPINIFY TECHNOLOGY LLP ("SpinifyAI," "we," "us," or "our"), including our voice AI agents, AI interview tools, and campaign and WhatsApp messaging tools (together, the "Services"). "Client" or "you" means the business or organisation that uses the Services, and the people it authorises to use them on its behalf.

By using the Services, you agree to these Terms. If you have a signed agreement or order form with us, it takes precedence over these Terms where the two differ.

Accounts and Access

• You are responsible for the people you give access to, for keeping login credentials secure, and for all activity under your account.
• Tell us promptly at contact@spinify.ai if you suspect unauthorised access to your account.

Acceptable Use

You must use the Services lawfully. In particular, you must not:

• Contact people without the consent or legal basis that applicable law requires, including the telecom commercial communication rules of the Telecom Regulatory Authority of India (TRAI) and the Digital Personal Data Protection Act, 2023.
• Send spam, misleading, fraudulent, harassing, or unlawful content, or impersonate any person or business.
• Upload data you have no right to use, or attempt to break, overload, reverse engineer, or bypass the security of the Services.

WhatsApp Business Messaging

Our messaging tools let you send and receive WhatsApp messages through the WhatsApp Business Platform operated by Meta Platforms, Inc. and WhatsApp LLC ("Meta"). When you use them:

• Your own account: You connect your own WhatsApp Business Account through Meta's signup flow. You remain the owner of that account and of your relationship with Meta.
• Meta's policies: You must comply with the WhatsApp Business Terms of Service and the WhatsApp Business Messaging Policy, including its commerce rules.
• Consent: You must obtain opt-in consent from each person before messaging them on WhatsApp, and stop messaging anyone who asks you to stop.
• Templates: Messages that start a conversation must use message templates that Meta has approved.
• Your content: You are responsible for the content of the messages you send and for the contact lists you provide.
• Meta charges: Meta charges for WhatsApp conversations under its own pricing. Unless your agreement with us says otherwise, those charges are billed to your WhatsApp Business Account by Meta.
• Availability: Meta may limit, suspend, or change access to the WhatsApp Business Platform or to your phone number. We are not responsible for Meta's decisions or for interruptions on Meta's side.
• Disconnecting: You can disconnect WhatsApp from our platform at any time. We may pause or disconnect your WhatsApp access if Meta requires it, if the law requires it, or if your use breaches these Terms or Meta's policies.

Your Data

• You own the data you put into the Services, including contact lists, messages, recordings, and candidate information ("Client Data").
• We process Client Data only to provide and support the Services for you, on your instructions, and as described in our Privacy Policy.
• You are responsible for having the right to provide Client Data to us and for the notices and consents that applicable law requires.

AI-Generated Output

The Services use artificial intelligence to hold conversations, transcribe, summarise, and score. AI output can be incomplete or wrong. You are responsible for reviewing it before relying on it, especially for decisions that significantly affect people, such as hiring decisions.

Fees and Payment

• Fees, billing periods, and payment terms are set out in your order form or agreement with us.
• Fees are exclusive of applicable taxes, including GST, which are charged in addition.
• Charges from third parties you use with the Services, such as Meta or your telephony provider, are your responsibility unless your agreement with us says otherwise.

Intellectual Property

We own the Services, our software, and our documentation. We give you a non-exclusive, non-transferable right to use the Services for your internal business purposes while your subscription is active. You may not resell or sublicense the Services without our written agreement.

Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purposes of the Services, except where disclosure is required by law.

Suspension and Termination

• We may suspend access, after notice where practical, if your use breaches these Terms, puts the Services or other clients at risk, or if fees are overdue.
• Either party may end the Services as set out in your order form or agreement. On termination, you can request an export of your Client Data within 30 days, after which we delete it as described in our Privacy Policy.

Disclaimers

We provide the Services with reasonable skill and care. Except as stated in these Terms or your agreement with us, the Services are provided "as is," and we do not guarantee that they will be uninterrupted or error-free, or that they will achieve any particular business result.

Limitation of Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, or data. Our total liability arising out of the Services is limited to the fees you paid us for the Services in the 3 months before the event that gave rise to the claim.

Indemnity

You will defend and compensate us against third-party claims arising from your content, your contact lists, or your breach of these Terms, applicable law, or Meta's policies, including claims that you contacted people without the required consent.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new effective date, and tell you about material changes through the Services or by email.

Governing Law and Disputes

These Terms are governed by the laws of India. The courts at Gautam Buddh Nagar, Uttar Pradesh, have exclusive jurisdiction over any dispute arising from them.
